Please read these Terms of Service (“Terms”) carefully before using AscendChat operated by Ascension Ventures. By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part, you may not access the service.

Acceptance of Terms
- By creating an account or using any part of the AscendChat service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and agree to comply with these Terms.
- If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of Service
- AscendChat is an AI-powered customer support and meeting booking platform that you embed on your website via a JavaScript snippet.
- The service allows visitors to your website to interact with an AI agent trained on your content, receive support answers, and book meetings on your calendar.
- We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time with notice where reasonably practicable.

Account Registration & Security
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must notify us immediately at legal@ascensionventures.com if you suspect any unauthorized use of your account.
- We reserve the right to terminate accounts that violate these Terms or are associated with fraudulent activity.

Acceptable Use
- You agree not to use AscendChat to: (a) violate any applicable law or regulation; (b) transmit spam, malware, or harmful content; (c) impersonate any person or entity; (d) collect or harvest user data without consent; (e) engage in abusive, harassing, or discriminatory conduct.
- You may not attempt to reverse-engineer, decompile, or otherwise access the source code or underlying AI models of the service.
- You may not resell, sublicense, or otherwise transfer your rights to the service without our prior written consent.

Subscription, Billing & Refunds
- Free Plan — Available at no cost, subject to usage limits as described in our pricing page.
- Pro Plan — Billed monthly or annually at the rate displayed at time of purchase. All fees are exclusive of applicable taxes.
- Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings.
- We do not offer refunds except where required by applicable law or at our sole discretion in extenuating circumstances. Contact legal@ascensionventures.com with refund requests.
- We reserve the right to change pricing at any time with 30 days' notice.

Intellectual Property
- The AscendChat service, including its software, design, trademarks, and AI models, is owned by Ascension Ventures and protected by intellectual property laws.
- You retain all rights to your content (data, documents, branding) uploaded to train the AI. By uploading content, you grant us a non-exclusive license to use it solely to provide the service.
- You may not use our name, logo, or trademarks without prior written permission.

Data & Privacy
- Our collection and use of personal data is governed by our Privacy Policy, incorporated herein by reference.
- You are responsible for ensuring that your use of AscendChat on your website complies with applicable privacy laws (e.g., GDPR, CCPA) and that you have obtained any necessary consents from your website visitors.
- We will process chat data as a data processor on your behalf and will not use your visitors' data for any purpose other than providing the service.

Disclaimers & Limitation of Liability
- The service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
- We do not warrant that the service will be uninterrupted, error-free, or that AI-generated responses will always be accurate or appropriate. You are responsible for reviewing AI outputs before relying on them.
- To the maximum extent permitted by law, Ascension Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your use of the service.
- Our total aggregate liability to you shall not exceed the greater of (a) $100 or (b) the amount you paid us in the 12 months preceding the claim.

Indemnification
- You agree to indemnify, defend, and hold harmless Ascension Ventures and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content you provide through the service.

Termination
- We may terminate or suspend your access immediately, without prior notice, for conduct that violates these Terms or is otherwise harmful to us, other users, or third parties.
- Upon termination, your right to use the service ceases immediately. You may export your data before termination using the tools provided in your account.
- Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, indemnification, and limitation of liability — shall survive.

Governing Law & Disputes
- These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Ascension Ventures is incorporated, without regard to its conflict-of-law provisions.
- Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration, except where prohibited by law.
- You waive any right to participate in a class-action lawsuit or class-wide arbitration.

Changes to Terms
- We reserve the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email or an in-app notification.
- Continued use of the service after changes take effect constitutes your acceptance of the revised Terms.
